The next steps include a sales process for residual assets and a meeting of creditors to determine the DOCA's validity.

As part of the process of reinstatement, the company has identified that certain shares allocated and issued at $0.11 under the shortfall to the entitlement offer were issued to a related party of WKT, without obtaining shareholder approval, in breach of ASX Listing Rule 10.11. The allocation was made inadvertently as a result of an administrative oversight in the course of applying the shortfall allocation policy. The Company notes that the shortfall allocation policy was applied consistently across all holders however recognises that the party below ought to have been excluded from that allocation under the shortfall policy. 1:10 Entitlement Issue oversubscribed. In excess of 75% of the minimum capital raise has been achieved before the placement of any shortfall. A total of $11,540,782 raised through the issue of 104,916,200 shares (including current oversubscriptions). A further $865,000 has already been committed by directors and others into the shortfall placement. As advised in its Investor Presentation released to ASX on 9th September, Walkabout Directors subscribed for a total of $1,600,000 equating to approximately 10% of the Minimum Subscription and approximately 5% of the Maximum Subscription. Applications from existing shareholders for additional shares have been accepted in full by the Company. The Lead Manager to the Offer, Canaccord Genuity (Australia) Limited , and Corporate Advisor, Brentridge Capital Pty Ltd, will be conducting a shortfall bookbuild on Monday 3rd October and Tuesday 4th October. Proceeds to be used for the completion of the construction of the Lindi Jumbo Graphite mine within the second quarter of 2023. Given the delays in completing debt drawdown, the maximum raise is shortest route to positive cash flow from Lindi Jumbo.

The Company has now received a response from CRDB regarding a specific alternative to the SBLC which was presented to the bank in late July as additional security to enable full drawdown of the US$20 million debt facilty. CRDB has advised that a SBLC remains "the best security that the bank can depend on". Therefore, there has been no material change to the status of the CRDB debt drawdown process, and the Company will continue to keep the market informed of any updates on this issue. The Company is also in ongoing discussions with CRDB around the amount of cash collateral CRDB required for full drawdown of the facility.This continues to be an ongoing point of discussion with CRDB on which the Company is seeking confirmation.

First blast successfully completed in the starter pit area of the Lindi Jumbo graphite mine. Commencement of first high-grade, responsibly sourced graphite stockpile in Tanzania, ready for commissioning of the processing plant. The Mine now has grid power with the Tanzanian Electrical Supply Company (TANESCO) completing installation of the 33kV powerline and the 4.5MW line underway, just 3km short of the mining licence. Processing plant civil works ~83% complete, with Jinpeng's engineering crew constructing the fine ore bin and thickner.

All assay results received and interpreted for maiden scout drilling programme of 1,676m completed at the Blackcraig Pb-Zn-Ag project. Stand out assay results include: 12.4% Zn, and 3.7 g/t Ag over 0.8m from 56.2m down hole (BCRDD-009); 1.3% Pb and 0.19% Zn over 4.71 m from 91m down hole (BCRDD-002) including: 4.9% Pb and 0.40% Zn over 1.02m from 94.69m. Blackcraig is part of a series of prospects named the "Scotland Projects", comprising three Mines Royal Options with the Crown Estate Scotland covering 744km2 in Dumfries and Galloway. Blackcraig, a historic Pb-Zn mine, is part of a larger 4.5km trend of historic workings in the area and may form part of a much larger mineralised system. Drill assay results support the high-grade nature of the prospects in the area and warrant further interpretation and exploration follow up.

Construction activities are continuing at Lindi Jumbo, in addition to the nearing of completion of the manufacture and acquisition of major processing equipment in China. This is despite the delayed drawdown of the USD20 million project debt facility through CRDB Bank Plc announced on 6 June 2022. Established and trusted relationships with all major contractors have seen the continuation of works while the last condition precedent (CP) for debt drawdown is being finalised. Development progress on the ground is more than 50% complete against the construction schedule. TANESCO, the Tanzanian Electrical Supply Company, has commenced connection of the Lindi Jumbo site to the national grid and provided written confirmation of the planned sufficient supply of grid power for the entire operation, expected to result in a significant reduction in operating costs. Offtake negotiations have continued with a focus on finalising the key commercial terms including pricing and off-take profile.

This initial tranche of project funding allows the Company to mobilise the major contracts to commence construction of the Lindi Jumbo Graphite project in Tanzania.
