The offering is expected to close on or about February 12, 2013 (the "losing Date"). Seventy percent of the gross proceeds of the offering, being the portion of the gross proceeds of the Units that is allocated to the Subscription Receipts, will be deposited into escrow on the Closing Date, to be released upon satisfaction of the Release Conditions.
