New Offer: Fully underwritten Entitlement issue on the basis of 1 New Share for every 3 Shares held at Issue Price of $0.003 per Share with 1 free attaching option for every 1 share subscribed, exercisable at $0.006 within 3 years from the date of issue. Major shareholders, the Copulos Group and the Retzos Group have each committed to apply for full entitlement (approximately 39% of the Company being A$0.68 million) in the Offer, a strong show of support from two of the Company's largest shareholders. Funds raised from the Offer will be used for exploration of gold prospects at the Plomosas project, to repay unsecured loans, for working capital and to meet Offer expenses.

Mapping has identified additional mineralised structures to the north of La Chona and Enrique Vein Systems, related to large structural lineaments. Highlighted rock chip results from the La Chona and Enrique areas include 6.21 g/t Au, 4.75 g/t Au and 3.39% Cu, 3.32g/t Au, 2.32 g/t Au and 1.45 g/t Au. Reconnaissance mapping and soil and channel sampling confirm gold is widespread in the system within the 100% owned Plomosas concessions.

Drilling intersected high-grade mineralised intervals in the Level 7 Semi-oxide orebody as part of the Inferred to Indicated category conversion. Drilling intersected significant downhole results up to 5.1m @ 14.2% Zn, 5.39%Pb, 48.68g/t Ag and 3.5m @ 22.54% Zn, 7.46%Pb, 35.64g/t Ag. Drilling encountered some faulting within the main zone but also demonstrated that thicker units of high-grade mineralisation occur within the current resource model at Level 7 which is the deepest of the main ore workings currently developed at Plomosas. Several high grade results from channel sampling includes 2.2m @ 43.02% Zn, 13.5% Pb, 83.25g/t Ag and 1.8m @ 36.61% Zn, 20.41% Pb, 139.22g/t Ag.

The underwriting agremeent for the rights issue has been terminated due to market conditions. A supplementary prospectus has been lodged to withdraw the prevoiusly announced rights issue. Negotiations with Pinnacle Corporate Finance for a replacement agreement are ongoing as the Mexican Government has recently instructed all non-essential services to suspend operations until 30 April 2020. The company has applied to the Directorate of Mines to be exempted from the non-essential services suspension on the basis that the Plomosas mine is well isolated from any population centres and has implemented strict social isolation and hygiene standards in advance of any government directives. During this suspension period, the company is only approved to continue critical maintenance of its operations that includes plant and equipment maintenance, dewatering, environmental and security.

The company has executed a new toll treatment agreement for its Plomosas Mine, Chihuahua State, Mexico, and is negotiating a new offtake agreements for Plomosas concentrates. On 22 March, CZL received a copy of an email sent to Minera Latin American Zinc from the legal representatives of Grupo Mexico. The email formally notified that the Grupo Mexico Toll Treatment and Offtake Agreement would terminate in 60 days. On 29 March, MLAZ executed a toll treatment agreement with a well-established toll treatment provider Triturado y Minerales La Piedrera S.A. de CV, who operate the Aldama concentrator facility.

The issue has been offered to qualified institutional and sophisticated investors in Australia and overseas and will be completed in two tranches with the first utilising the Company's available 15% capacity by 11 May 2016 and the second subject to Shareholder approval at a later date.
